TERMS OF SERVICE

These Terms of Service ("Terms") govern your use of the brightstocking.com website and services provided by Brightstocking, LLC ("Brightstocking," "we," "us," or "our"). By using our website, submitting a form, booking a call, or engaging our services, you agree to these Terms.

1. About Brightstocking

Brightstocking is a women-owned strategic communications, design, and digital marketing firm serving nonprofits, government agencies, cultural institutions, heritage sites, and museums. Our services include creative services, strategic communications, digital marketing, and fundraising and development support.

2. Service Agreements

All client engagements require a signed service agreement or statement of work that outlines the specific scope, deliverables, timeline, and payment terms. These Terms apply in addition to your signed agreement. If there is a conflict between these Terms and your signed agreement, the signed agreement controls.

3. Payment Terms

Payment terms are outlined in your signed service agreement. Unless otherwise stated, invoices are due within 30 days of receipt. Late payments may result in a pause of work until the account is current. We accept payment by credit card, ACH, or check.

4. SMS and Text Messaging

By providing your phone number and checking the appropriate consent box on our forms, you may opt in to receive text messages from Brightstocking.

Program name: Brightstocking

Types of messages: If you consent to transactional messages, you may receive appointment reminders, scheduling confirmations, project updates, and account notifications. If you separately consent to marketing messages, you may receive promotional offers, service announcements, and educational content related to our work.

Message frequency: Message frequency varies. Transactional messages are sent as needed based on your account activity. Marketing messages are sent no more than 4 times per month.

Message and data rates may apply. Your carrier's standard messaging and data rates apply to any messages you send or receive.

Opt-out: You can cancel SMS messages at any time. Text STOP to the number from which you received the message. After you send STOP, we will confirm your unsubscription by text. You will not receive any further SMS messages from that program unless you re-subscribe.

Carriers are not liable for delayed or undelivered messages.

5. Intellectual Property

Upon full payment, you own the final deliverables created for your organization, including logos, brand assets, templates, and website copy. Brightstocking retains the right to display completed work in our portfolio unless you request otherwise in writing. We retain ownership of our proprietary processes, frameworks, and methodologies.

6. Your Responsibilities

You agree to provide timely feedback, approvals, and access to accounts or materials we need to do the work. Delays caused by late feedback may extend project timelines. We will communicate clearly about deadlines and expectations throughout every engagement.

7. Confidentiality

We treat your organization's information as confidential. We will not share your internal documents, donor data, financial information, or strategic plans with anyone outside our team without your written permission, except as required by law.

8. Limitation of Liability

Brightstocking's total liability under these Terms will not exceed the amount you have paid for services in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages, including lost revenue or data.

9. Termination

Either party may terminate a service engagement with 30 days written notice unless otherwise specified in your signed agreement. If you terminate early, you are responsible for payment of work completed through the termination date.

10. Governing Law

These Terms are governed by the laws of the State of South Carolina. Any disputes will be resolved in the courts of Beaufort County, South Carolina.

11. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the date at the top of this page. Continued use of our website or services after changes are posted means you accept the updated Terms.
